Among the subscribers, namely: P4 Software, a legal entity duly registered under the laws of the Republic of Panama, and on the other hand the CUSTOMER, of general descriptions in the applications and service registration via platform or in writing, agree to enter into this contract subject to the following terms and conditions.

First: Between the Parties

P4 Software and the CUSTOMER agree that the purpose of this contract is to provide the following service called P4 Software, in accordance with the clauses detailed below.

Second: Terms of Use

These terms of use do not limit, alter or modify, nor imply a waiver of industrial property rights and copyright, or any other right that P4 Software has over the software and the service called P4 Software.

He CUSTOMER You may use any version of code P4 Software authorized by P4 Software, with the limitations and conditions established in these terms and conditions.

2.1. The Terms and Conditions

The terms and conditions detailed below (“Terms”) govern your use of this website and the platform. P4 Software, as well as the services available on the site (“Services”), and are legally binding on the CUSTOMER.

IF YOU DO NOT AGREE TO THESE TERMS, YOU SHOULD NOT ACCESS OR USE THE SERVICES. YOUR CONTINUED USE OF THE SITE OR SERVICES CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS.

He CUSTOMER accepts that P4 Software, or its designee, may make changes to these terms at any time without prior notice or consultation. Such revisions will be notified by posting an updated version on the website. CUSTOMER You are responsible for periodically reviewing these Terms, and your continued use of the Services will constitute your acceptance of the changes. P4 Software may make adjustments to the service or modifications necessary to improve the product, which may entail changes in rates.

2.2. Service Activation

The contract will enter into force when the following conditions are met:

Approval by P4 Software or whoever he designates, of the request submitted by the CUSTOMER.
The activation of the product/service by P4 Software.

2.3. Payments and Suspension of Service

He CUSTOMER expressly accepts the collection of Three hundred US dollars (USD$300.00) for service activation and a monthly fee, which will be charged within the first 5 days of each month, according to the plan selected and accepted in the product request.

2.3.1. Payment Methods

He CUSTOMER agrees to make payments by credit card (VISA or MASTERCARD) with authorization for automatic discount through the platform of P4 SoftwareYou may also make payments by bank transfer to an account designated by P4 Software.

The rate will be applied per user or group of users. If the CUSTOMER Add more users, the rate will increase automatically, without the need to sign a new agreement.

2.3.2. Refunds and Partial Payments

P4 Software will not make refunds on payments made by users or services contracted. Nor is it obliged to accept partial payments, and the receipt of partial payments does not imply modifications in the terms of the agreement.

2.3.3. Suspension and Cancellation of Service

If the CUSTOMER incurs in late payment for more than 30 days, access to the system will be suspended. If the default amounts to three (3) months, P4 Software will proceed to delete the information contained in your account. To reactivate the service, the CUSTOMER You will have to pay the months owed and a reactivation fee of $100.00.

He CUSTOMER waives any claim against P4 Software for data loss due to suspension or deletion of your account for non-payment.

Third: Restrictions on Use

He CUSTOMER may not:

Use the Services for any illegal or unauthorized purpose.
Alter or modify the software without authorization from P4 Software.
Sharing login credentials with third parties.
Attempting to access restricted areas of the system without permission.

In case of non-compliance, P4 Software may suspend or cancel the service without notice.

Fourth: Password Protection

He CUSTOMER You are responsible for the confidentiality of your access credentials. P4 Software may suspend accounts if unauthorized access is detected.

Fifth: Intellectual Property

All intellectual property rights on the software, brands and contents belong to P4 Software. Use of the service does not grant the CUSTOMER no rights to the intellectual property of P4 Software.

Sixth: Limitation of Liability

P4 Software will not be liable for:

Indirect or incidental damages arising from the use of the service.
Errors caused by incorrect configurations made by the CUSTOMER.
Loss of data due to non-payment or actions of the CUSTOMER.

Seventh: Modifications to the Service

P4 Software reserves the right to update or modify the service to improve the functionality and security of the system. These updates may entail changes in rates, which will be notified in advance.

Eighth: Validity and Termination of the Contract

The contract comes into force from the acceptance of the service. It may be terminated by:

Unilateral decision by P4 Software.
CUSTOMER's non-payment.
Breach of any clause of the contract.
Mutual agreement between the parties.

In the event of termination, P4 Software You may delete the data from the CUSTOMER, and the latter will not be entitled to reimbursement for payments made.

Ninth: Applicable Law and Jurisdiction

This contract is governed by the laws of the Republic of PanamaAny dispute will be resolved before the competent courts of Panama.
